Results of Norilsk Nickel Board of Directors meeting
Norilsk Nickel held the scheduled in-person meeting of the Board of Directors, during which the following key resolutions were approved.
The Board of Directors decided to convene the AGM on June 29, 2012. The list of persons eligible to participate in the AGM shall be drafted as of May 24, 2012. The AGM will take placein Bolshoi Petrovsky hall of President Hotel at the following address: 24, Bolshaya Yakimanka str., Moscow. The Meeting shall begin at 13:00 (local time), registration of shareholders shall begin at 11:00 (local time).
The Company's Board of Directors also approved the AGM agenda:
1. Approval of 2011 Annual Report of OJSC MMC Norilsk Nickel.
2. Approval of 2011 Annual Accounting Statements of OJSC MMC Norilsk Nickel, including Profit and Loss Statements.
3. Distribution of OJSC MMC Norilsk Nickel's 2011 profits and losses, including dividends on OJSC MMC Norilsk Nickel shares for 2011.
4. Elections to the Board of Directors of OJSC MMC Norilsk Nickel.
5. Elections to the Revision Commission of OJSC MMC Norilsk Nickel.
6. Approval of the Auditor of the Russian accounting statements of OJSC MMC Norilsk Nickel.
7. Approval of the Auditor of theIFRS consolidated financial statements of OJSC MMC Norilsk Nickel.
8. Remunerations and reimbursement of expenses to Independent Directors - members of OJSC MMC Norilsk Nickel Board of Directors.
9. Approval of interrelated interested party transactions, whereby members of the Board of Directors and Management Board of MMC Norilsk Nickel shall be indemnified against damages.
10. Approval of the interested party transaction related to liability insurance for members of the Board of Directors and Management Board of OJSC MMC Norilsk Nickel.
Moreover, the Board of Directors approved recommendations to the AGM regarding the sum of remuneration and reimbursement of expenses to Independent Directors - members of the Company's Board of Directors.
